TERMS AND CONDITIONS OF USE (Public Offer)

1. GENERAL PROVISIONS

1.1. This document constitutes an official offer by NN PRIME TRADING L.L.C S.O.C (the “Company”) and sets forth the terms for granting access to the Service.
1.2. By paying for the Service, the User accepts (accepts the offer) these Terms. Upon payment, a binding agreement is concluded between the Company and the User under the terms set out below.
2. SUBJECT OF THE AGREEMENT

2.1. The Company grants the User access to a private Telegram channel that contains information (the “Service”). The channel does not contain any information about suppliers.
2.2. Access is granted for a period equal to one calendar month (30 days).
During the first subscription period, the User receives access to no more than 150 items of information.
During each subsequent subscription period, the User receives access to no more than 5 new items added to the Service.


3. ACCESS AND RENEWAL

3.1. Access is provided within 24 hours after payment is received.
3.2. Access remains active only for the paid period. After the period ends, access is terminated.
3.3. The subscription automatically renews by charging the linked payment card (recurring payment) unless the User cancels auto‑renewal in the account settings at least 24 hours before the end of the current period.
3.4. The User may cancel auto‑renewal at any time through the account settings.


4. RIGHTS AND OBLIGATIONS

4.1. The Company undertakes to:
provide access to the Service within the specified time;
maintain the Service’s functionality, except for interruptions due to scheduled maintenance or issues with the Telegram platform.
4.2. The User undertakes to:
not transfer access (login, link, credentials) to any third party;
not copy, sell, or distribute the information obtained through the Service;
use the information solely for internal business or personal purposes.
4.3. The Company is entitled to:
block access without prior notice in case of violation of these Terms (e.g., transfer of access, spam, abusive behaviour, attempts to hack);
engage third parties to provide the Service without the User’s consent.


5. PAYMENT AND REFUNDS

5.1. The subscription fee is stated on the website or within the Service interface and is fixed at the time of payment.
5.1.1. The standard subscription fee is 26 (twenty-six) United Arab Emirates dirhams (7$) per month. The fee is fixed at the time of payment.
5.1.2. The Company may, at its sole discretion, provide a discount on the subscription fee. Any discount applies only to the specified period and cannot be applied retroactively.
5.2. Payment is made as 100% advance payment.
5.4. Refunds:
If a refund is requested before access is granted, the full amount is refunded, minus any actual expenses incurred (e.g., bank transaction fees).
If access has already been granted, the User is entitled to a refund of the unused portion of the subscription period, calculated on a pro-rata basis (daily basis), minus any actual expenses incurred by the Company (e.g., bank transaction fees). The refund is calculated from the date the refund request is received by the Company.
To request a refund, the User must send an email to nnprimetrading@gmail.com with the subject “Refund request” and include the reason for the refund. The Company will process the request within 10 business days.
5.5. If an automatic renewal payment fails due to insufficient funds, the Company makes one additional attempt within 24 hours. If the second attempt also fails, access is terminated and the agreement ends.
5.6. Notice of recurring payment: The Company shall notify the User at least 3 (three) calendar days before each automatic recurring charge. The notice will be sent to the User’s email address or via Telegram (using the contact details provided by the User). The notice will include the amount to be charged, the date of the charge, and a reminder that the User may cancel auto‑renewal in the account settings. If the User does not cancel before the charge date, the recurring payment will be processed as scheduled.


6. ACCEPTANCE OF SERVICES

6.1. Within 1 (one) calendar day after access is granted, the User may send reasoned objections regarding the quality or scope of the Service. If no objections are received, the Service is considered accepted and properly provided.
6.2. After this one‑day period, only claims regarding technical unavailability of the Service will be accepted.


7. LIABILITY AND DISCLAIMERS

7.1. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Company does not guarantee any specific financial or business results from using the Service.
7.2. The Company is not liable for any indirect damages (including lost profits, moral harm, etc.).
7.3. The total liability of the Company for any claims arising out of or related to this Agreement shall not exceed the amount paid by the User for the Service during the 12 months preceding the event giving rise to the claim.


8. INTELLECTUAL PROPERTY

8.1. All content and materials provided through the Service are the intellectual property of the Company or its licensors. Copying, distributing, reselling, or otherwise using such materials outside the scope permitted in clause 4.2 is prohibited.


9. TERM AND AMENDMENTS

9.1. This Agreement remains in force for each paid period and automatically renews upon successful collection of the recurring payment.
9.2. The Company may amend these Terms unilaterally. For material changes, the Company will provide at least 30 days’ notice. Continued use of the Service after the amendments take effect constitutes acceptance of the new Terms.


10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. This Agreement is governed by the laws of the United Arab Emirates.
10.2. Any disputes shall first be resolved through a claim procedure. Claims must be sent by email to nnprimetrading@gmail.com. The response period for a claim is 10 business days.
10.3. If the dispute is not resolved amicably, it shall be submitted to the courts at the Company’s location (Dubai, UAE) in accordance with local procedural law.
